Planet ReGen, Inc. is a U.S. C-corporation under the $75M gross-asset threshold, so the shares issued when your SAFE converts are intended to qualify as QSBS under IRC §1202. For non-corporate holders, §1202 can exclude federal capital gains up to the greater of $15M or 10× your basis, per company — under a tiered holding period of 50% at 3 years, 75% at 4, and 100% at 5 years.
